A Further Important Update to Cayman Islands Companies Law

Following our recent update in September, the amendments to the laws which require the Registrar to make information available to the public in respect of Cayman Islands entities became effective on October 1, 2019.

Availability of Director Names
For Cayman Islands companies, this means that from this date, the names of directors and alternate directors are available to any person, on the payment of a fee of CI$50/US$61.

The information available is limited to the names of the current directors and alternates and does not include any other personal details such as address, date of birth or nationality. A search may be conducted in relation to a specific company only and may only be made in person at the offices of the Registrar of Companies in the Cayman Islands.

Updates to the Register of Members
We would also take this as an opportunity to remind you that voting rights and their conditions (if any) must be recorded on the register of members by the following dates:

  • For companies incorporated after August 8, 2019 - by November 7, 2019
  • For companies incorporated on or prior to August 8, 2019 - by February 7, 2020

Directors of existing Cayman companies will need to review each class of shares to update their registers of members as required.
